These Terms of Service ("Terms") govern access to and use of Crewelo websites, applications, hosted business websites, widgets, marketplace features, communications tools, business software, and related services (collectively, the "Platform"). "Crewelo," "we," "us," and "our" mean Adstim LLC. By creating an account, clicking to accept, publishing a Crewelo-hosted site, submitting a service request, using a booking or quote flow, or otherwise using the Platform, you agree to these Terms.
1. Eligibility and authority
You must be at least 18 years old and legally capable of entering into a binding contract. If you use Crewelo for an organization, you represent that you have authority to bind that organization. A person acting for a business may be required to provide evidence of authority, identity, licensing, registration, or ownership.
2. What Crewelo is — and is not
Crewelo provides software, hosting, lead-management tools, marketplace discovery and matching, communications, booking/quote workflows, and payment-enablement technology. Unless Crewelo expressly states otherwise for a specific transaction, Crewelo is not the provider of the underlying local service, is not the employer, agent, joint venturer, partner, franchisor, insurer, guarantor, or general contractor of a listed service provider, and does not control how a provider performs its work.
When a customer hires a provider, the contract for the underlying service is between that customer and that provider. The provider is responsible for the service, scope, pricing, scheduling, permits, taxes, professional duties, warranties, refunds, health and safety obligations, and compliance with laws that apply to the service.
3. Accounts and organizations
You must provide accurate, current information and keep credentials secure. You are responsible for activity through your account and for promptly notifying Crewelo of suspected unauthorized access. Business accounts may include organizations, owners, administrators, employees, contractors, and other members. Organization administrators may control member permissions and access to organization data.
Crewelo may require email, phone, domain, business, identity, or payment-account verification before enabling particular capabilities.
4. Marketplace requests, quotes, bookings, and matching
Customers may browse providers, submit requests, upload photos or documents, message providers, request quotes, compare responses, schedule appointments, book services, or use guest-access links. Providers decide whether to respond, quote, accept, or perform work.
Matching and ranking are intended to help users discover potentially relevant providers. They are not endorsements, guarantees, professional recommendations, or promises of availability, quality, price, safety, licensing, insurance, or outcome. Users remain responsible for evaluating counterparties and the suitability of a proposed service.
5. Payments through Stripe
Crewelo uses Stripe as its payment services provider. Crewelo may use Stripe Connect to enable providers to receive customer payments. For marketplace and provider-site payments configured as direct charges, the payment is charged on the provider’s connected Stripe account; the provider is the seller/merchant for the underlying service and Crewelo may deduct or receive a disclosed platform/application fee.
Providers must complete Stripe onboarding and comply with the applicable Stripe agreements. Payment-card and bank-account credentials are generally collected and processed by Stripe, not stored by Crewelo in raw form. Crewelo may receive payment metadata such as status, amount, currency, transaction identifiers, payout information, dispute status, and limited payment-method details.
Crewelo does not hold customer funds in escrow, does not provide a deposit account, and does not operate a stored-value wallet. A balance, credit, coupon, promotional credit, or internal ledger entry shown in Crewelo is not a bank account and has no cash value unless Crewelo expressly states otherwise.
6. Provider pricing, refunds, disputes, and taxes
Providers set the price and commercial terms of their services unless a specific Crewelo feature clearly states otherwise. Providers are responsible for customer refunds and service-related disputes. Crewelo may provide technical tools for refunds, cancellations, evidence collection, and dispute workflows, but this does not make Crewelo the provider of the underlying service.
Providers are responsible for determining, collecting, reporting, and remitting taxes applicable to their services and business, except where law requires another party to do so. Crewelo may collect taxes on Crewelo’s own SaaS or platform charges where required.
7. Crewelo subscriptions and paid features
Paid Crewelo plans, AI credits, messaging allowances, custom-domain features, or other add-ons may be offered on a recurring or usage-based basis. Before charging, Crewelo will display material pricing and renewal terms. Recurring subscriptions renew until canceled. You may cancel through the account billing settings or another cancellation method Crewelo makes available. Cancellation stops future renewals but does not normally create a retroactive refund for a period already paid, except where required by law or expressly stated at purchase.
Crewelo may change prices prospectively after reasonable notice. If a price change affects an existing recurring plan, it will apply no earlier than the next renewal period after the notice period stated to you, subject to applicable law.
8. Free hosted business websites and custom domains
Eligible providers may publish a Crewelo-hosted website or widget. Free plans may contain Crewelo branding, network links, or contextual sponsorship/advertising placements as disclosed in the product. Paid plans may offer branding removal or custom-domain features.
The provider is responsible for the accuracy, legality, and completeness of its business-site content, including service descriptions, prices, qualifications, team information, photographs, testimonials, promotions, and legally required disclosures. Crewelo may provide templates and AI assistance, but the provider must review content before publication.
A custom domain remains subject to the registrant’s separate agreement with its registrar. Unless Crewelo expressly offers a domain-registration service in writing, Crewelo does not become the domain registrant or registrar merely because a domain is connected to a Crewelo-hosted site.
9. Business listings and unclaimed pages
Crewelo may create informational listings from lawful public sources, user submissions, or business-provided data. An unclaimed listing does not mean that the business has joined, endorsed, partnered with, or agreed to receive work through Crewelo. Crewelo will provide reasonable mechanisms to claim, correct, update, opt out of eligible outreach, or request removal of a listing where appropriate.
Crewelo will not present fabricated reviews, fabricated employees, fabricated licenses, or fabricated participation as factual business information. Providers must not do so either.
10. Reviews and user content
Users may submit reviews, photos, messages, business descriptions, quote details, responses, and other content ("User Content"). You retain ownership of your User Content. You grant Crewelo a worldwide, non-exclusive, sublicensable, royalty-free license to host, reproduce, format, display, distribute, moderate, and otherwise use User Content as necessary to operate, secure, promote, and improve the Platform, subject to the Privacy Policy.
You must have the rights needed to submit User Content. Reviews must reflect genuine first-hand experiences and must not be fabricated, misleading, unlawfully discriminatory, defamatory, extortionate, or posted in exchange for an undisclosed incentive.
11. AI-assisted features
Crewelo may provide AI-assisted drafting, classification, summarization, image/content generation or editing, suggested replies, lead categorization, website generation, search, or other automated features. AI output can be incomplete, inaccurate, or unsuitable. Users must review output before relying on or publishing it.
AI output must not be used to fabricate reviews, licenses, credentials, employees, job completion, customer relationships, safety claims, professional qualifications, or other factual claims. Crewelo may block or remove AI-generated material that violates these Terms or creates a material risk of deception or harm.
12. Communications
Crewelo may send transactional communications reasonably necessary to operate the Platform, including account, security, lead, quote, booking, payment, support, and legal notices. Marketing communications are subject to applicable consent and opt-out rules. SMS terms appear in the Communications, Email & SMS Terms.
Marketplace communications may be relayed through Crewelo systems. Provider-site leads may be routed to the provider operating that site. Users must not use Crewelo communications tools for spam, harassment, unlawful solicitation, or attempts to evade platform safeguards.
13. Prohibited conduct
You may not misuse the Platform, access it unlawfully, interfere with security, scrape or harvest protected data in violation of law or contract, impersonate another person or business, create deceptive listings, manipulate reviews, submit fraudulent leads, distribute malware, infringe intellectual property, facilitate unlawful discrimination, promote illegal services, or use Crewelo in a way that creates material safety, fraud, regulatory, or reputational risk. Additional restrictions appear in the Acceptable Use & Prohibited Services Policy.
14. Crewelo intellectual property
The Platform, excluding User Content and third-party materials, is owned by Adstim LLC or its licensors and is protected by intellectual-property laws. Subject to these Terms, Crewelo grants you a limited, non-exclusive, non-transferable, revocable right to use the Platform for its intended purpose. You may not copy, sell, license, reverse engineer, circumvent technical controls, or create derivative products from protected Crewelo software or branding except as allowed by law or written permission.
15. Privacy
Crewelo handles personal information as described in the Global Privacy Policy. When a provider uses Crewelo to process personal information on behalf of its own business, the Business Data Processing Addendum may also apply. Providers are responsible for providing any privacy notices and obtaining any consents required for their own customer relationship.
16. Suspension, restriction, and termination
Crewelo may restrict, suspend, or terminate access where reasonably necessary to address nonpayment, security incidents, fraud, illegal content or conduct, repeated policy violations, legal or regulatory requirements, platform integrity, material risk to users, or material breach of these Terms. Where applicable law or business-user rules require notice, reasons, an opportunity to appeal, or a notice period, Crewelo will provide them unless a lawful exception applies.
You may stop using Crewelo at any time and may close your account through available settings or by contacting support, subject to outstanding payment, record-retention, dispute, fraud-prevention, and legal obligations.
17. Third-party services
Crewelo may interoperate with Stripe and other third-party infrastructure, communications, analytics, security, mapping, AI, domain, or business tools. Third-party services are governed by their own terms and policies. Crewelo is not responsible for a third party’s independent service, except to the extent applicable law provides otherwise.
18. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” CREWELO DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE PLATFORM, A PROVIDER, A CUSTOMER, A LEAD, A QUOTE, A BOOKING, OR AI OUTPUT WILL MEET A USER’S EXPECTATIONS. CREWELO DOES NOT GUARANTEE THE IDENTITY, LICENSING, INSURANCE, QUALITY, SAFETY, AVAILABILITY, OR PERFORMANCE OF ANY PROVIDER OR CUSTOMER UNLESS A SPECIFIC GUARANTEE IS EXPRESSLY PROVIDED IN WRITING.
Nothing in these Terms excludes a warranty, guarantee, consumer right, or remedy that cannot lawfully be excluded.
19. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSTIM LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS, OR SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE PLATFORM OR AN UNDERLYING PROVIDER-CUSTOMER TRANSACTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREWELO’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID DIRECTLY TO CREWELO FOR THE PLATFORM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD 100. THIS CAP DOES NOT APPLY WHERE APPLICABLE LAW PROHIBITS IT, INCLUDING LIABILITY THAT CANNOT BE LIMITED FOR FRAUD, WILLFUL MISCONDUCT, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR NON-WAIVABLE CONSUMER RIGHTS.
20. Indemnification
To the extent permitted by law, a business user will defend, indemnify, and hold harmless Adstim LLC and its affiliates from third-party claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable legal fees arising from the business user’s services, User Content, customer relationship, taxes, licenses, employment practices, privacy violations, infringement, unlawful conduct, or breach of these Terms. This obligation does not apply to the extent a claim is caused by Crewelo’s own breach or unlawful conduct.
21. Governing law and disputes
For business users, these Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules, and the state and federal courts located in Wyoming will have exclusive jurisdiction unless an applicable jurisdiction-specific addendum states otherwise or mandatory law requires another forum.
For consumers, mandatory consumer-protection and forum rights in the consumer’s place of residence are preserved. Crewelo has not inserted a binding U.S. arbitration or class-action-waiver clause in this draft; any such clause should be adopted only after counsel review and an appropriate notice and opt-out design.
22. Changes to these Terms
Crewelo may update these Terms to reflect product, legal, security, or operational changes. Material changes will be notified through the Platform, email, or another reasonable method before they take effect where required by law. Continued use after the effective date constitutes acceptance where legally permitted. If applicable law requires affirmative consent, Crewelo will request it.
23. General
If a provision is unenforceable, the remaining provisions remain effective and the invalid provision will be enforced to the maximum lawful extent. Failure to enforce a provision is not a waiver. You may not assign these Terms without Crewelo’s consent, except as permitted by law; Crewelo may assign them in connection with a merger, acquisition, reorganization, or sale of assets, subject to applicable law.
